Terms of Service

Terms governing business use of Gaaba by Softix, including Google Ads API read-only reporting limitations.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Softix, an Israeli business operating the Gaaba by Softix platform ("Gaaba", "we", "us", or "our"), and govern your access to and use of the Gaaba Voice-to-CRM, AI voice receptionist, customer notification, scheduling, analytics, and related business services (the "Service").

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company, agency, contractor, organization, or other business entity, you represent that you are authorized to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.


2. The Service

Gaaba by Softix provides a B2B platform for businesses and service providers. The Service may include, depending on your plan and configuration:

  • AI or scripted voice intake for inbound calls.
  • Conversion of inbound calls into structured CRM leads.
  • Lead management, customer management, notes, call history, and status tracking.
  • ZIP-code, geographic, and marketing attribution analytics.
  • Call forwarding workflows using Gaaba-managed or third-party phone numbers.
  • Call recording, transcription, summaries, and AI-generated insights where enabled.
  • WhatsApp, SMS, Telegram, email, or other notifications.
  • Scheduling, calendar integration, technician/service configuration, and booking flows.
  • Integrations with third-party providers such as Twilio, Stripe, Google Calendar, AI providers, messaging providers, and other vendors.
  • Administrative tools, business settings, user roles, billing, and support features.

For the avoidance of doubt, any Google Ads API integration provided as part of the Service is currently limited to read-only reporting, analytics, customer account selection, campaign performance review, geographic insights, and AI-assisted recommendations. Gaaba does not currently use the Google Ads API to create, edit, pause, enable, remove, delete, or otherwise mutate campaigns, ads, keywords, bids, budgets, or Google Ads account settings. Future optimization or write features, if introduced, will require explicit customer authorization, updated product documentation, updated compliance disclosures, and any Google Ads API access-level review or approval required by Google.

We may add, change, suspend, or remove features over time. Some features may be released as beta, experimental, limited availability, or preview features.


3. Accounts, roles, and eligibility

You must provide accurate and current account information.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Access to the Service may be role-based, including roles such as owner, admin, manager, technician, support user, or similar roles. Account owners and administrators are responsible for managing user access and for the actions of users they invite or authorize.

The Service is intended for business use only. You may use the Service only if you can form a legally binding contract and are not prohibited from using the Service under applicable law.


4. Customer responsibilities

You are responsible for:

  • Your use of the Service and your users' use of the Service.
  • The accuracy, legality, and quality of the data you submit to the Service.
  • Ensuring that your business has a lawful basis to collect, process, store, record, transcribe, message, and otherwise use data relating to callers, customers, leads, technicians, employees, and other individuals.
  • Providing all legally required notices and obtaining all legally required consents.
  • Configuring the Service correctly for your business, jurisdiction, industry, and communication practices.
  • Reviewing AI-generated outputs before relying on them for important decisions.
  • Complying with all laws that apply to your business, including privacy, data protection, consumer protection, telecommunications, call recording, marketing, anti-spam, do-not-call, and employment laws.

You acknowledge that Gaaba provides tools, but you remain responsible for how those tools are configured and used in your business.


5. Acceptable use

You agree not to:

  • Use the Service unlawfully or in a way that violates the rights of others.
  • Send unlawful, deceptive, abusive, misleading, or unsolicited communications.
  • Violate telemarketing, anti-spam, do-not-call, messaging consent, or similar rules.
  • Record, monitor, intercept, transcribe, or analyze communications without all required notices and consents.
  • Attempt to access another tenant's account, data, calls, leads, messages, recordings, analytics, or settings.
  • Reverse engineer, scrape, overload, disrupt, interfere with, or compromise the Service.
  • Upload malware, malicious scripts, or harmful content.
  • Use the Service to build or train a competing product except as expressly permitted in writing.
  • Misuse AI features, including by attempting to bypass safety, security, or usage controls.
  • Use the Service for emergency services, life-safety communications, or situations where failure, delay, or inaccurate output could cause serious harm.

We may suspend, limit, or terminate access if we reasonably believe that your use violates these Terms, creates legal risk, threatens security, harms the Service, or may harm other customers or third parties.


6. Customer data

As between you and Gaaba, you own the data that you or your authorized users submit to the Service, including customer records, leads, call metadata, recordings, transcripts, notes, messages, scheduling data, business settings, and related data ("Customer Data").

You grant Gaaba a limited right to host, process, transmit, store, analyze, display, and otherwise use Customer Data only as necessary to:

  • Provide, maintain, secure, and support the Service.
  • Operate configured integrations and communications.
  • Troubleshoot, prevent abuse, and improve reliability and security.
  • Comply with law and enforce these Terms.
  • Improve the Service in accordance with our Privacy Policy and applicable law.

Where Gaaba processes Customer Data on your behalf as a processor or service provider, the Gaaba Data Processing Agreement applies and is available at https://gaaba.ai/legal/dpa.


7. Privacy and data protection

Your use of the Service is also governed by our Privacy Policy, available at https://gaaba.ai/legal/privacy.

You are responsible for ensuring that your own privacy notices accurately describe your use of Gaaba, including any call recording, transcription, AI analysis, messaging, scheduling, CRM storage, and third-party integrations.

If your use of the Service involves personal data from individuals located in the European Economic Area, United Kingdom, Switzerland, Israel, the United States, or any other regulated jurisdiction, you are responsible for determining which privacy and data protection laws apply to your business and for complying with them.


The Service may enable you to forward calls from your business numbers to Gaaba-managed or third-party phone numbers. The Service may also enable inbound and outbound calls, SMS, WhatsApp messages, Telegram messages, email notifications, calendar invites, booking links, call recordings, transcriptions, summaries, and AI-generated call analysis.

You are solely responsible for complying with all laws governing communications, recording, monitoring, transcription, notice, and consent in every jurisdiction where you, your users, your customers, your callers, and your recipients are located.

This includes, without limitation:

  • One-party and all-party consent rules for call recording.
  • U.S. state call recording laws.
  • Israeli law and any applicable privacy or communications rules.
  • Telemarketing, anti-spam, do-not-call, SMS, WhatsApp, and messaging consent rules.
  • Requirements to disclose when a call is recorded, transcribed, or handled by AI.
  • Rules that apply to your industry, including home services, healthcare, finance, legal, insurance, or other regulated services if applicable.

You are responsible for enabling, disabling, and configuring recording, transcription, AI, and messaging features appropriately.


9. AI features and generated outputs

The Service may use artificial intelligence to answer calls, ask intake questions, summarize conversations, extract lead details, classify calls, recommend next steps, generate messages, or provide analytics.

AI-generated outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for your use case. You are responsible for reviewing AI outputs before relying on them.

Gaaba does not provide legal, medical, financial, emergency, or professional advice. You must not rely on AI-generated outputs as a substitute for professional judgment.

We may impose usage limits, safety limits, fallback behavior, or human review requirements for AI features.


10. Notifications and messaging

Notification channels such as WhatsApp, SMS, Telegram, and email are configurable and may depend on third-party providers.

You are responsible for ensuring that each recipient has agreed to receive the relevant type of message and that your messages comply with applicable law and platform rules.

Recipients may mute, unsubscribe, opt out, block, or unlink notification channels where supported. You must honor opt-out requests where required by law or platform policy.

We are not responsible for delays, failures, filtering, blocking, suspension, carrier restrictions, platform restrictions, or deliverability issues caused by third-party networks or providers.


11. Third-party services and integrations

The Service may integrate with third-party services, including Twilio, Stripe, WhatsApp, Telegram, Google Ads, Google Calendar, email providers, AI providers, hosting providers, analytics providers, and other vendors.

Your use of third-party services may be subject to their own terms, policies, fees, restrictions, and availability. We do not control and are not responsible for third-party services.

Third-party usage fees, telecom charges, carrier fees, messaging fees, payment processing fees, AI usage costs, or similar costs may apply depending on your plan and usage.

If you connect a third-party account or authorize an integration, you grant us permission to access and process data from that integration as needed to provide the Service.


12. Phone numbers and telecom services

If Gaaba provides, purchases, assigns, or manages phone numbers for your account, those numbers may be subject to third-party carrier and provider rules.

Unless expressly agreed in writing:

  • Phone numbers are provided for use with the Service.
  • Phone number availability is not guaranteed.
  • Phone numbers may be reclaimed, suspended, changed, or restricted due to provider rules, legal requirements, non-payment, misuse, inactivity, or technical limitations.
  • Porting or transferring numbers may require additional verification, third-party approval, and fees.
  • You are responsible for ensuring that your business numbers are forwarded correctly and that your customers receive proper notice where required.

13. Fees, billing, and payment

Paid plans are billed according to the plan, usage, and billing terms you select or accept. Billing may include subscription fees, usage-based fees, setup fees, telecom usage, phone number charges, messaging charges, AI usage, payment processing fees, taxes, and other charges described at checkout, in an order form, or in your account.

Payments may be processed by a third-party payment provider such as Stripe.

Unless otherwise stated in a written agreement or required by law, fees are non-refundable.

We may change pricing or plan features with prior notice. Continued use after the change takes effect means you accept the updated pricing or plan terms.

Non-payment, failed payment, chargebacks, excessive usage, or suspected fraud may result in suspension, downgrade, limitation, or termination of the Service.


14. Intellectual property

Gaaba, Softix, and our licensors own all rights, title, and interest in and to the Service, including software, workflows, designs, interfaces, documentation, trademarks, logos, trade names, algorithms, templates, AI workflows, analytics models, and related intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during your active subscription or authorized trial.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Service except as expressly permitted by law or by written agreement.

You retain ownership of your Customer Data.


15. Feedback

If you provide suggestions, ideas, bug reports, feature requests, or other feedback, you grant us a perpetual, worldwide, royalty-free right to use that feedback without obligation to you.


16. Confidentiality

Each party may receive non-public information from the other party in connection with the Service. Each party agrees to protect the other party's confidential information using reasonable care and to use it only as needed to perform under these Terms.

Confidential information does not include information that is public, independently developed, lawfully received from another source, or already known without confidentiality obligations.


17. Security

We use reasonable technical and organizational measures designed to protect the Service and Customer Data. However, no system is completely secure.

You are responsible for using strong passwords, protecting credentials, limiting user access, securing your devices and integrations, and promptly notifying us of suspected unauthorized access.

We may take action to protect the Service, including limiting access, revoking tokens, disabling integrations, or suspending accounts when necessary.


18. Service availability and changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation.

The Service may be unavailable due to maintenance, updates, outages, security incidents, third-party provider failures, telecom provider issues, cloud infrastructure issues, or events outside our control.

We may modify, suspend, discontinue, or replace any part of the Service, subject to any written commitments we have made to you.


19. Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI-GENERATED OUTPUTS, TRANSCRIPTS, SUMMARIES, ANALYTICS, CALL CLASSIFICATIONS, OR RECOMMENDATIONS WILL BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.


20. Limitation of liability

To the maximum extent permitted by law, Gaaba and Softix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes lost profits, lost revenue, lost data, loss of goodwill, business interruption, substitute services, or damages arising from AI outputs, third-party services, telecom failures, message delays, call routing failures, recording failures, or integration failures.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amounts you paid to Gaaba for the Service in the 12 months before the event giving rise to the claim.

The limitations above apply whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory.

The liability cap above does not limit liability that cannot be limited under applicable law, or liability arising from fraud, willful misconduct, intentional breach of confidentiality, or payment obligations.


21. Indemnification

You agree to defend, indemnify, and hold harmless Gaaba, Softix, and their owners, officers, employees, contractors, affiliates, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your Customer Data.
  • Your use or misuse of the Service.
  • Your users' actions.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Your communications, recordings, transcriptions, messages, marketing, consent practices, or failure to provide required notices.
  • Your products, services, business operations, customers, leads, or end users.

22. Term, suspension, and termination

These Terms apply while you access or use the Service.

You may stop using the Service or close your account according to the available account settings or by contacting us.

We may suspend, restrict, or terminate access if:

  • You breach these Terms.
  • Payment fails or fees are overdue.
  • Your use creates security, legal, operational, or reputational risk.
  • We are required to do so by law, court order, provider requirement, or platform policy.
  • Your account is inactive for an extended period, subject to applicable law and any written plan terms.

Upon termination, your right to use the Service ends. Data retention, export, deletion, and return are governed by our Privacy Policy, DPA, and any applicable written agreement.


23. Data export and deletion

During your active subscription, the Service may allow you to export certain Customer Data, depending on available features and plan limitations.

After termination or non-payment, we may delete the account and related Customer Data according to our Privacy Policy, DPA, backup schedules, legal obligations, dispute requirements, fraud prevention needs, and legitimate business purposes. Unless otherwise agreed or configured, call recordings and transcripts are retained by default for thirty (30) days, audit logs for up to six (6) months, and backups for up to thirty (30) days.


24. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, where required, provide notice.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.


25. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the competent courts located in Jerusalem, Israel, except where applicable law requires otherwise.
